Summary: Struxify Freight & Tiers calculates freight prices and tier prices exclusively from the merchant's tables and settings and passes them on to the Shopify checkout. The app does not set prices and does not estimate prices. The merchant is responsible for the content and correctness of its tariffs; it checks them with the app's rate calculator before use.

1. Scope and contracting party

These terms apply to the use of the Shopify app “Struxify Freight & Tiers” by merchants (hereinafter “Merchant”). The provider and contracting party is Struxify — Inh. Dávid-Dennis Warning, Bürgermeister-Steenbock-Straße 21 a, 24558 Henstedt-Ulzburg, Deutschland (hereinafter “Provider”). The app is aimed exclusively at businesses (Unternehmer) within the meaning of § 14 BGB (German Civil Code); concluding a contract with consumers (§ 13 BGB) is excluded. Shopify's terms for the app ecosystem apply in addition.

2. Description of services

  1. The Merchant uploads tables (Excel or CSV) with postcode zones, freight prices, surcharges, product data and tier prices to the app. The app checks the files for formal errors and stores their contents.
  2. Freight prices: The app registers itself as a shipping service (carrier service) in the Merchant's shop. For every shipping calculation, Shopify transmits the delivery address and the cart; from these the app determines the zone, the chargeable weight, the number of pallets and oversize, and returns to Shopify the price from the matching tariff row plus the stored surcharges. If no tariff row matches, the app returns no rate or – if the Merchant has configured this – the fallback price set by the Merchant.
  3. Tier prices: The app creates an automatic discount in the shop. A Shopify Function provided by the app deducts, in the cart and in the checkout, the difference between the shop price and the Merchant's tier price.
  4. Cart hints: At the Merchant's request a theme block in the cart displays hints on the utilisation of the freight and pallet tier, the free-shipping threshold and the next price tier. The hints are calculated from the Merchant's tables with a delivery zone defined by the Merchant and are non-binding estimates; the prices calculated in the checkout prevail. The Merchant checks the hints with test carts before use.
  5. Suggestions from previous orders (from the Pro plan, optional; added on 23 October 2026): If the Merchant switches on the feature “Still fits – from your previous orders” in the app settings, the cart block suggests to a customer logged in to the store up to three items from that customer's own previous orders that, according to the Merchant's tables, still fit into the current rate band or onto the started pallet. For this, the app reads this customer's orders from the last up to six months live via the Shopify API and does not store them. This requires Shopify to have approved the app's access to protected customer data and the Merchant to have confirmed the additional permissions; without this approval the list stays empty. The Merchant activates the feature itself, can switch it off at any time and informs its customers about it in its privacy policy. The suggestions are non-binding; prices, availability and the freight price are only determined in the checkout. This clause and the related provisions of the DPA only apply from activation; activation counts as the Merchant's instruction within the meaning of the DPA. Without activation nothing changes for the Merchant.
  6. Freight prices in the checkout require that the Shopify feature “third-party carrier-calculated shipping rates” (carrier-calculated shipping) is available in the Merchant's shop. Whether and at what cost Shopify provides this feature is beyond the Provider's control.
  7. The display, selection and charging of the shipping method, the calculation of taxes and the completion of the order are handled by Shopify. The app does not conclude contracts with the Merchant's customers and does not commission any freight carriers.

3. Merchant's responsibility

  1. The prices, zones, surcharges, dimensions, weights and tiers stored in the tables are the Merchant's data. The app does not check them for commercial correctness, completeness or consistency with the conditions of the Merchant's freight carrier.
  2. After every upload and after every change to the settings, the Merchant checks with the app's rate calculator and a test order whether the calculated prices meet its requirements before using the tariff for customers.
  3. The Merchant is responsible for ensuring that the prices and hints displayed in the cart and in the checkout comply with legal requirements (in particular price indications, taxes, information obligations towards its customers) and that the weights and SKUs of its products are maintained in Shopify.

4. Liability

  1. The Provider is not liable for damage resulting from data uploaded or configured by the Merchant being incorrect, incomplete or out of date, or from the Merchant having failed to carry out the check under clause 3.2.
  2. Otherwise, in the case of slight negligence the Provider is liable only for breach of an essential contractual obligation (cardinal obligation), limited to the typical, foreseeable damage for this type of contract and at most to the fees paid by the Merchant for the app in the twelve months before the event causing the damage. Liability for indirect damage and lost profit is excluded in the case of slight negligence.
  3. The above limitations do not apply in the case of intent and gross negligence, injury to life, body or health, fraudulently concealed defects, assumption of a guarantee, or mandatory liability under the German Product Liability Act (Produkthaftungsgesetz).

5. Indemnification

The Merchant indemnifies the Provider against third-party claims (in particular from its customers and carriers) that are based on the prices and data stored by the Merchant, unless the Provider is responsible for them under clause 4.3.

6. Availability, updates and third parties

The app uses third-party services (including Shopify and hosting). Uninterrupted availability is not promised. If the app does not respond to a request from Shopify in time, Shopify displays the other shipping rates or the fallback shipping rates the Merchant has stored in Shopify; the Merchant keeps suitable rates available for this purpose. The Provider is liable for outages or changes of third-party services only in accordance with clause 4. The Provider keeps the app functional during the term of the contract and provides security and feature updates; it informs about material changes in the app.

7. Data processing

For the calculation, Shopify transmits the delivery address and cart of the Merchant's customers to the app. The Provider processes this data on behalf of and on the instructions of the Merchant (Art. 28 GDPR), uses only the country and postcode as well as the cart items, and does not store them in a form relating to an individual. The Data Processing Agreement (DPA) applies to this; it is concluded in electronic form with the acceptance of these terms (Art. 28(9) GDPR). The Privacy Policy applies in addition. The Merchant includes the use of the app in its own privacy policy. If the Merchant uses the cart block, its visitors' browsers transmit the cart items to the app (section 2); the Merchant also includes this processing in its privacy policy and enters the link to it in the theme editor where the block provides for this. If the Merchant switches on suggestions from previous orders (section 2, from Pro), the app additionally processes, for logged-in customers, their previous order lines (item, quantity, date) in memory only; the Merchant also includes this processing in its privacy policy.

8. Plans, trial period and billing

  1. Use of the app requires a subscription. Current plans per 30 days: Starter 19 euros or US dollars (1 freight rate table), Pro 39 euros or US dollars (3 freight rate tables), Business 69 euros or US dollars (10 freight rate tables). The exact scope of each plan is shown on the “Plan” page in the app. The number of checkout requests is not limited in any plan.
  2. Every plan starts with a free trial period of 14 days. If the subscription is ended during the trial period or the app is uninstalled, no costs are incurred.
  3. Early-access offer: The first 50 people who join the waiting list on freight.struxify.io before the app launches in the Shopify App Store and confirm their sign-up by email get the Pro plan for the first three billing periods after the free trial at the price of the Starter plan (19 instead of 39 per period, in the billing currency under clause 8). The order of confirmation is decisive. The shop must install the app and choose Pro within 60 days of the launch notification; matching is based on the email or shop address given when signing up. The offer price appears in Shopify as a time-limited discount and is approved there. After that, the regular Pro price applies. Cancellation under clause 9 remains possible at any time during the offer. The offer applies once per shop, is not transferable and cannot be paid out in cash.
  4. Billing is handled exclusively via Shopify (Shopify Billing API) with the Merchant's Shopify invoice, in euros if the Merchant's store is billed in euros, otherwise the same amount in US dollars, and every 30 days. The Provider does not receive or store any payment data of the Merchant. The Provider is a small business owner under § 19 UStG (German VAT Act) – no VAT is charged; Shopify's billing terms apply in addition.
  5. Costs that Shopify charges the Merchant for its own services (e.g. for the “third-party carrier-calculated shipping rates” feature) are not part of the app's plans.
  6. A plan change is possible at any time on the “Plan” page and takes effect immediately; Shopify handles the settlement. When switching to a smaller plan, features and tables that exceed its scope are no longer applied. Price changes apply only to future billing periods and must be approved by the Merchant in Shopify.

9. Term, termination, data export and switching providers

  1. The contract runs for an indefinite period with no minimum term. The Merchant can terminate at any time – on the “Plan” page in the app or by uninstalling the app in Shopify. Termination takes effect immediately; Shopify credits the unused part of the current billing period on a pro-rata basis. Without a subscription the app no longer passes freight prices to the checkout and tier prices no longer apply. Upon uninstallation the shop's data is deleted (see Privacy Policy). The right of both parties to terminate for good cause remains unaffected.
  2. Data export and switching (Regulation (EU) 2023/2854 – Data Act, Art. 23 et seq.): the Merchant may at any time request to switch with its data to another provider or to its own environment, or to have its data erased. A message in text form to hello@struxify.io is sufficient; no notice period has to be observed. The Provider makes the exportable data available without undue delay, at the latest within 30 calendar days of the request, in a structured, commonly used and machine-readable format (tables as an Excel or CSV file, other data as JSON or CSV), supports the switch to a reasonable extent, keeps the app available unchanged until the switch is completed and maintains data security throughout. The export file provided remains retrievable for at least 30 calendar days.
  3. Exportable data is all data the Merchant has brought in or that has been created through its use: settings, the uploaded tables (postcode zones, freight rates, surcharges, item details, tier prices) as stored by the app, and the request log – in each case as far as still available under the storage periods of the Privacy Policy. Internal data of the Provider whose disclosure would endanger security or trade secrets is not exported (access keys, server logs, internal identifiers). Products, customers, orders and the shipping service and discount created in Shopify are held in the Merchant's Shopify account independently of the app.
  4. The export must be requested before uninstallation, because the Provider deletes the shop's data upon uninstallation in accordance with Shopify's requirements (clause 9.1). No fees are charged for export or switching. Information on the location of the infrastructure, the service providers used and the protection against access from third countries can be found in the Privacy Policy (clause 5) and in the DPA (clauses 5 and 6).

10. Acceptance and changes

Use of the app requires express acceptance of these terms in the app. The Provider may change the terms with effect for the future; changed terms must be confirmed again before further use.

11. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is, to the extent permitted by law, the Provider's registered place of business. Should any provision be invalid, the validity of the remaining provisions remains unaffected.
